2. Scope of Application

These General Terms of Sale (“Terms”) apply to all services provided by BROLZ SRL (“BROLZ”, “we”, “our”), including:

  • BROLZ SaaS Platform: cloud-based software and mobile application provided under a subscription model.
  • Professional Services: additional services such as configuration, consulting, training, and workforce credits, whether included in a package or sold separately.

By using our services, the client (“Client”, “you”) agrees to these Terms.

3. Definitions

  • SaaS Service: The BROLZ platform and mobile application, delivered online on a subscription basis.
  • Professional Services: Any non-software services (training, credits for workforce, integration assistance, or consulting).
  • User: Any person authorized by the Client to use the BROLZ platform.

4. Purpose of the Agreement

The Client is granted a non-exclusive, non-transferable, and limited license to use the BROLZ platform for internal business purposes, in accordance with these Terms.

5. Intellectual Property

All intellectual property rights relating to BROLZ (including the platform, software, mobile application, documentation, and related materials) remain the exclusive property of BROLZ.

The Client may not reproduce, modify, reverse engineer, or redistribute the software.

6. Account and Usage Rules

  • Access credentials are personal and confidential.
  • The Client must ensure that Users comply with these Terms.
  • Any abusive use, illegal activity, or action that compromises the security or stability of the platform may result in immediate suspension of access.

7. Service Availability and Support

  • BROLZ guarantees 99.5% uptime per calendar month, excluding scheduled maintenance and force majeure.
  • Planned maintenance will be announced in advance whenever possible.
  • Support is provided via email or helpdesk during business hours (Mon–Fri, 08:00–17:00 CET, excluding public holidays).

8. Prices and Payment Terms

  • SaaS subscription: invoiced annually in advance.
  • Professional Services and credits: invoiced according to the selected package or purchase order.
  • Prices are in euros, excluding VAT and applicable taxes.
  • Payment terms: 30 days from invoice date.
  • Late payments: interest at the ECB reference rate + 8%, plus reasonable recovery costs in line with Belgian law.
  • BROLZ may suspend services for invoices overdue by more than 30 days.

9. Data Protection

BROLZ complies with GDPR and acts as Data Processor for Client data.

10. Cybersecurity

BROLZ implements technical and organizational measures to protect the confidentiality, integrity, and availability of data.

Security incidents impacting Client data will be notified without undue delay and in accordance with GDPR requirements.

11. Liability

  • BROLZ’s liability for direct damages is limited to the total amount paid by the Client for SaaS subscriptions during the 12 months preceding the incident.
  • BROLZ is not liable for indirect damages, loss of profits, data loss caused by Client actions, or third-party services outside our control.

12. Term and Termination

  • Agreements are concluded for an initial 12-month term. During this period, the Agreement cannot be terminated early by either party, except in the event of:
    • (i) bankruptcy or judicial liquidation of the other party, or
    • (ii) persistent force majeure making performance impossible.
  • At the end of the initial term, the Agreement shall automatically renew for successive 12-month periods unless either party notifies the other of non-renewal at least three (3) months before the renewal date.

13. Governing Law and Jurisdiction

These Terms are governed by Belgian law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Liège, Belgium.
